Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Motrix Cloud platform and website at motrix.io (the "Service"), operated by Strickland Services Group, LLC ("Company," "we," "us," or "our"), a Florida limited liability company.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

Motrix Cloud is a web-based fleet management platform designed for paratransit and public transit agencies. The Service provides tools for vehicle management, maintenance scheduling, inspections, work orders, fuel tracking, warranty tracking, budget analysis, and related fleet operations.

The Service is currently in private beta. Features, functionality, and availability may change without notice during the beta period.

3. Accounts

Registration

Access to the Service requires an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at support@motrix.io.

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or if your account is inactive for more than 12 consecutive months, with 30 days written notice.

4. Your Data

Ownership

You own your data. All fleet data, vehicle records, maintenance logs, inspection reports, and other content you enter into the Service ("Your Data") remains your property. We claim no ownership rights over Your Data.

License to Operate

You grant us a limited, non-exclusive license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service to you.

Data Export

You may request an export of Your Data at any time by contacting support@motrix.io. We will provide your data in a standard, machine-readable format within 30 days of your request.

Data Deletion

Upon account closure, we will delete Your Data within 90 days, unless retention is required by law or you request a longer retention period in writing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code
• Resell, sublicense, or redistribute access to the Service without our written consent
• Use automated tools to scrape, crawl, or extract data from the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Intellectual Property

The Service, including its design, code, features, documentation, branding, and all related intellectual property, is owned by Strickland Services Group, LLC and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not include the right to:

• Modify or create derivative works of the Service
• Copy or distribute any part of the Service
• Use our trademarks, logos, or branding without written permission

7. Beta Service Disclaimer

The Service is currently in private beta. During the beta period:

• Features may be added, modified, or removed without notice
• The Service may experience downtime or interruptions
• Data loss may occur, although we take reasonable precautions to prevent it
• We encourage you to maintain independent backups of critical fleet data

Beta access does not guarantee continued access to the Service or any specific features upon general release.

8. Fees and Payment

Access to the beta Service is currently provided at no charge. We reserve the right to introduce paid plans in the future. If we introduce fees, we will provide at least 30 days written notice and you may choose to discontinue use of the Service at that time with full data export.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant that any defects will be corrected or that the Service will meet your specific requirements.

The Service is a fleet management tool, not a safety system. You are solely responsible for ensuring your fleet operations comply with all applicable federal, state, and local laws and regulations, including but not limited to FTA, DOT, FMCSA, and ADA requirements. The Service assists with record-keeping and reporting but does not replace your independent compliance obligations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRICKLAND SERVICES GROUP, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of revenue, profits, or business
• Loss of data or data corruption
• Cost of procurement of substitute services
• Regulatory fines or penalties
• Vehicle downtime or maintenance delays

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Strickland Services Group, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your fleet data or content you provide through the Service

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in the State of Florida.

You agree to waive any right to a jury trial and to participate in class action lawsuits against us.

13. Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date and, for registered users, by email notification at least 15 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Strickland Services Group, LLC regarding your use of the Service and supersede any prior agreements.
